Welcome to the StateScape’s client services portal at the StateScape.com website (the “Services”). These terms and conditions (“Terms of Use”) govern your access to and use of the Services. By accessing or using the Services, you (the “User”) agree to be bound by these Terms of Use.

(1) Permitted Use

StateScape grants a limited license for use of the Services to the User solely for the benefit of the StateScape client that provided the User with access (“the Client”).

Under no circumstance may you provide access – including, but not limited to, a password or access to use or view the Services, or reports generated from the Services, or other materials prepared by StateScape for Client – to any individual who is not another authorized User of the Client without prior written consent from StateScape.  Typically, User access is granted only to employees of, and for trade associations, to members of, the Client. Consultants, clients, or attorneys not directly employed by Client are not typically considered employees or members of Client. Please reach out to your organization’s account manager for details on your organization’s specific agreement with StateScape.

You agree not to engage in any activities that may interfere with the proper functioning of the Website or violate any laws or regulations. StateScape reserves the right to restrict or terminate your access without prior notice if you violate these Terms of Use.

(2) Treatment of User-Created Content

Content added via the Services by the User, such as content added to Personal Notes or Group Notes, (“User Content”) will be treated as the property of the Client and may be reproduced, modified, adapted, published, translated, distributed, and displayed as necessary to satisfy StateScape’s agreement with the Client.

(3) Disclaimer of Warranties

StateScape will use sound and professional principles and practices in accordance with normally accepted industry standards in the performance of the Services. The User acknowledges and agrees that StateScape, its employees, agents and/or representatives have made no guarantee or promise regarding the results of the Services.

(4) Limitation of Liability

In no event shall StateScape or its officers, directors, employees, or agents be liable directly to the User for any incidental, special, indirect, consequential, or punitive damages whatsoever, including but not limited to: damages for loss of profits, loss of data, business interruption or delay, or any other damages arising from or related to the use or inability to use the Services, however caused, regardless of the theory of liability (contract, tort, or otherwise) or if StateScape has been advised of the possibility of such damages.

Except for damages caused by StateScape’s gross negligence or willful misconduct, the maximum aggregate and cumulative liability of StateScape, its officers, directors, employees, or agents to the Client in connection with the Services shall not exceed the amount paid by Client for the Services.

(5) Privacy Policy

(6) Governing Law and Choice of Forum

Any dispute arising under these Terms of User or connection with the Services shall be governed by the laws of the Commonwealth of Virginia and subject to the exclusive jurisdiction of the courts located therein.

(7) Modification

StateScape reserves the right to modify, amend, or change these Terms of Use at any time. Any changes will be effective immediately upon posting the revised Terms of Use on the StateScape.com website. Your continued use of the Website following the posting of changes constitutes your acceptance of such changes.
